Soul Share Health acts solely as a platform for community, education, and connection. Any third-party providers or partners operate independently and are solely responsible for their services.

By accessing, registering for, or using the Service, or by clicking to accept or agree to these Terms when this option is made available to you, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. Your compliance with these Terms helps maintain the integrity and experience of the Service, and is required to maintain access to the Service.

Services

Soul Share Health provides a platform that includes, but is not limited to, digital memberships, educational and faith-based content, community-based environments, live and recorded programming, and access to third-party licensed professionals through independent partners (collectively, the “Services” or the “Service”). In addition to Services, Soul Share Health may offer physical and digital goods for purchase, including but not limited to merchandise, supplements, resources, and other products (collectively, “Products”). All Services and Products offered through the website or related platforms are collectively referred to as the “Service.” Soul Share Health reserves the right to modify, suspend, discontinue, or limit any aspect of the Service, including any Services or Products, at any time and without liability. For purposes of these Terms, “Materials” means all content, features, functionality, software, text, images, audio, video, designs, data, products, and other elements made available through the Service. Soul Share Health does not guarantee any specific outcomes, improvements, or results from use of the Service. Soul Share Health reserves the right to refuse access to the Service to any user at its sole discretion.

Non-Clinical Services Disclaimer

You acknowledge and agree that Soul Share Health provides community-based support, educational materials, and faith-based guidance only. THE SERVICE IS PROVIDED FOR PEER SUPPORT, EDUCATION, COMMUNITY ENGAGEMENT, AND FAITH-BASED GUIDANCE ONLY. The Service does not constitute medical advice, psychological treatment, or licensed counseling services and should not be relied upon as a substitute for professional medical or mental health advice, diagnosis, or treatment. Any clinical or therapeutic services are provided solely through independent, licensed third-party providers, such as PsySon, and only within the scope of those designated services. Your use of the Service does not establish a therapist-client, doctor-patient, or any other professional healthcare relationship with SSH, and does not establish any duty of confidentiality. Information shared within the Service, including in community groups, forums, or events, is not confidential and may be viewed, shared, or misused by other users. Soul Share Health does not guarantee the privacy or confidentiality of any user communications.

Community members, group leaders, and other users are not licensed medical or mental health professionals and do not provide professional advice or treatment.You agree that any information or content provided through the Service, including user content, is for informational purposes only and should not be relied upon as a substitute for professional medical or mental health advice

No Duty of Care / No Monitoring Obligation

Soul Share Health does not assume any duty of care, duty to warn, or duty to intervene with respect to any user of the Service. While we may, in our sole discretion, monitor or review content, we are under no obligation to do so and do not guarantee that any content will be reviewed, moderated, or removed. You acknowledge that interactions with other users occur at your own risk.

Eligibility

You represent and warrant that you are at least eighteen (18) years of age, have not been previously suspended or removed from the Service, and that your use of the Service complies with all applicable laws and regulations. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms.

User Accounts

To access certain features, you may be required to create an account. You agree to provide accurate and complete information and to keep such information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify SSH immediately of any unauthorized use of your account.

Fees, Payments, and Memberships

Certain aspects of the Service, including Products and Memberships, require payment of fees. All fees are stated in U.S. dollars unless otherwise specified. By purchasing any Product or subscribing to any Membership, you agree to pay all applicable fees, taxes, and charges associated with your purchase. 

Soul Share Health reserves the right, at its sole discretion, to determine and modify pricing for any Products or Memberships at any time. We may offer promotional pricing, discounts, bundled offers, or limited-time offers to certain users or groups of users. These promotional offers may differ from pricing available to other users and, unless expressly extended to you, shall not apply to your purchase or these Terms. 

By providing a payment method, you authorize Soul Share Health and its third-party payment processors to charge your payment method for all amounts due, including recurring Membership fees, applicable taxes, shipping costs, and any other charges incurred in connection with your use of the Service.

Memberships may include automatically recurring billing. By enrolling in a Membership, you authorize recurring charges to your payment method on a periodic basis until you cancel your Membership. Your Membership will continue until canceled in accordance with the cancellation procedures provided through your account or by contacting support. You are responsible for canceling your Membership prior to the next billing cycle to avoid future charges. Except where required by law, payments are non-refundable, including charges incurred due to failure to cancel prior to the renewal date. However, Soul Share Health may, in its sole discretion, issue refunds or credits on a case-by-case basis.

With respect to physical Products, shipping costs, delivery timelines, and fulfillment terms will be provided at the time of purchase. Soul Share Health is not responsible for delays caused by carriers or events beyond our control. Risk of loss for physical Products passes to you upon delivery. Unless otherwise required by law, all sales are final. Refunds or replacements for physical Products will only be issued in cases of defect or damage, in accordance with our return policy.

Code of Conduct and Prohibited Use

LIMITED LICENSE:
Subject to your full and ongoing compliance with these Terms, Soul Share Health grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access the Site and use the Service and any associated content or Membership solely for your personal, non-commercial use during the period of your access. You acknowledge that you do not acquire any ownership rights in the Site, Service, or Materials.

ACCEPTABLE USE AND CONDUCT:
You agree to use the Service in a respectful, lawful, and responsible manner. You further agree to maintain the confidentiality of any personal, sensitive, or proprietary information obtained through the Service and not to disclose or use such information outside the Service without proper authorization. This obligation survives termination of your use of the Service. You are solely responsible for any content you submit, post, or share through the Service and for any consequences resulting from such content. 

PROHIBITED USE:
Without limiting the foregoing, you agree not to engage in any of the following conduct in connection with the Site, Service, or Materials:

• (a) use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;

• (b) violate, infringe upon, or misappropriate the rights of any third party, including intellectual property, privacy, confidentiality, or publicity rights;

• (c) engage in harassment, abuse, discrimination, defamation, threats, hate speech, or other objectionable conduct;

• (d) impersonate any person or entity, falsely claim affiliation, or provide inaccurate or misleading information;

• (e) access or attempt to access another user’s account without authorization;

• (f) interfere with, disrupt, damage, or compromise the integrity, security, or performance of the Service or any connected systems or networks;

• (g) attempt to bypass, disable, or circumvent any security features or access controls;

• (h) reverse engineer, decompile, or attempt to discover the source code or underlying structure of the Service, except as permitted by applicable law;

• (i) upload, transmit, or distribute viruses, malware, or any harmful or malicious code;

• (j) collect, harvest, store, or otherwise obtain personal or sensitive information of other users without their consent;

• (k) use automated systems, including bots, scrapers, crawlers, or data-mining tools, to access or interact with the Service;

• (l) access, collect, or use any data from the Service for purposes of creating, training, or improving any artificial intelligence or machine learning system;

• (m) reproduce, distribute, publicly display, share, transmit, record, copy, modify, create derivative works from, or otherwise exploit any portion of the Service or its content outside of the Service, including through screenshots, recordings, downloads, reposts, or external distribution;

• (n) use the Service for any commercial purpose, solicitation, advertising, or promotion without prior written authorization;

• (o) send unsolicited communications, spam, or promotional messages;

• (p) manipulate, influence, or exchange compensation for testimonials, reviews, or user-generated content, or retaliate against users for providing such content;

• (q) use the Service in violation of any applicable professional, licensing, or ethical obligations;

• (r) allow any third party to access or use your account credentials; or

• (s) assist, enable, or attempt to engage in any of the foregoing conduct.

This list is not exhaustive and is intended to provide examples of prohibited conduct. Soul Share Health reserves the sole and absolute discretion to determine what constitutes inappropriate, harmful, or prohibited behavior. Any violation of this section, or any conduct deemed inconsistent with the integrity, purpose, or community standards of the Service, may result in suspension or termination of access without notice.

Community Disclaimer

The Service facilitates peer-to-peer interactions. Users may share personal experiences and opinions, which may not be accurate, complete, or appropriate for your situation. You should exercise your own judgment when engaging with such content.

User Content, License & Likeness

By submitting, posting, uploading, or otherwise sharing any content through the Service or in connection with Soul Share Health, including but not limited to messages, posts, comments, images, videos, audio, testimonials, or community or event engagement or participation, (“User Content”), you grant SSH a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, perform, modify, and create derivative works from such User Content for the purposes of operating, improving, promoting, and marketing the Service, including use across digital platforms, social media channels, and promotional materials. You continue to own the content you share. By sharing it, you grant Soul Share Health the rights described in these Terms to use that content in connection with the Service.

By submitting or sharing User Content, you grant Soul Share Health a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and create derivative works from such content for purposes of operating, improving, and promoting the Service.

 

You further grant Soul Share Health the right to use your name, image, likeness, voice, and statements for promotional, educational, and commercial purposes; provided that, where required by applicable law, Soul Share Health will obtain your consent prior to such use.

Intellectual Property and Ownership of Materials

The Service is owned and operated by Soul Share Health. All content, materials, and elements made available through the Service, including but not limited to visual interfaces, graphics, designs, text, audio, video, images, educational content, community structures, programs, data, software, code (whether in source or object form), products, and all other components of the Service (collectively, the “Materials”), are protected by intellectual property and other applicable laws. All Materials are the exclusive property of Soul Share Health or its licensors. Except as expressly authorized in these Terms, you may not use, reproduce, distribute, modify, display, perform, republish, transmit, or otherwise exploit any Materials. Soul Share Health reserves all rights in and to the Materials not expressly granted under these Terms.

DMCA Notice

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials appearing on the Site, Service, or Materials infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. In addition, if you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send us a counter-notice. Notices and counter-notices must meet statutory requirements imposed by the DMCA. In accordance with the DMCA, Soul Share Health has designated an agent to receive notification of alleged copyright infringement in accordance with the DMCA. Platform Rights

CONTENT MODERATION:
SSH reserves the right, but not the obligation, to monitor, review, remove, edit, or restrict any User Content or participation in the Service at its sole discretion. SSH may take such actions without prior notice if it determines that content or behavior violates these Terms or is otherwise harmful to the platform or its users. 

TERMINATION:

SSH reserves the right to suspend or terminate your access to the Service, remove content, or restrict participation at any time, with or without notice, for any reason, including, without limitation, where necessary to protect the safety, well-being, or experience of other users or the integrity of the community.

Consent to Electronic Communications

You agree that we may send the following to you by email or by posting them on the Site: legal disclosures; these Terms; Privacy Notice; future changes to any of the foregoing; and other notices, policies, communications or disclosures and information related to the Service. You agree that we may contact you via email, phone, text, or mail regarding prospective Site, Service or Materials. Text messages and emails are not always secure because they travel over networks that we do not own or control. You consent to receive such communications electronically. You agree to update your contact information to ensure accuracy. Your consent to conduct actions electronically covers all interactions between you and SSH.

You may opt out of certain types of electronic communications through your account or by following the unsubscribe instructions in any communication you receive from SSH. Your withdrawal of consent will be effective within a reasonable time after we receive notice of your withdrawal.

We will need to send you certain communications electronically regarding the Site, Service, or Materials. You will not be able to opt out of those communications – e.g., communications regarding updates to the Terms or information about billing. Your withdrawal of consent will not affect the legal validity or enforceability of the Terms provided to and accepted by you. If you withdraw your consent to receive communications electronically, certain aspects of the Service or Materials may become unavailable to you.

To the extent you opt in to two-factor authentication via SMS, our 2FA SMS, when applicable, Terms and Privacy Notice shall apply.

Third Party Services and Links

The Site, Service, or Materials may contain links to other sites that are owned and operated by third parties. We are not responsible for the privacy and security practices or the content, advertising, products, services or other materials made available on or through any such linked sites. We provide these links to you only as a convenience, and the inclusion of any link does not imply endorsement of any kind by us.

Reference to any product, recording, event, process, publication, service, or offering of any third party by name, trade name, trademark, service mark, company name or otherwise does not constitute or imply the endorsement or recommendation of such by Soul Share Health.

Soul Share Health makes no representation that all products, services and/or material described on the Site, the Service available through the Site, or Materials are appropriate or available for use in locations outside the United States or all states and territories within the United States.

Soul Share Health does not employ, control, supervise, or direct any third-party providers. Any relationship formed between you and a third-party provider is solely between you and that provider. Soul Share Health does not warrant, endorse, guarantee, or assume responsibility for any third-party services, including the quality, safety, legality, or outcomes of such services.

Service Interruptions

The Service may be unavailable, interrupted, or experience delays from time to time. Soul Share Health is not responsible for any interruptions or loss of access.

Monitoring, Recording and Data Usage

You acknowledge and agree that SSH may monitor, record, store, and review interactions within the Service for purposes including, but not limited to, security, quality assurance, training, and community integrity. SSH may collect and use aggregated, anonymized, and usage data derived from the Service for purposes of improving the platform, analytics, and operations. Such monitoring is not performed in real time and is not intended for crisis detection or emergency response.

Brand Use and Representation

You agree that you will not represent yourself as an agent, employee, spokesperson, or authorized representative of SSH without prior written authorization. Participation in the Service does not grant you any ownership, leadership authority, or control over any SSH program, initiative, or community. You further agree not to use SSH’s name, branding, or materials for any purpose without express written consent.

Feedback

If you provide feedback, suggestions, or ideas regarding the Service or the creation of other products and services, you grant SSH an unrestricted, perpetual, irrevocable, royalty-free right to use such feedback for any purpose without compensation or attribution.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Soul Share Health, its directors, officers, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any content you submit, post, or share through the Service; or (d) your violation of any law or the rights of any third party.

Warranties Disclaimer

THE SERVICE, INCLUDING ALL CONTENT, MATERIALS, PRODUCTS, AND SERVICES PROVIDED BY SOUL SHARE HEALTH, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SOUL SHARE HEALTH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOUL SHARE HEALTH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY RESULTS OR OUTCOMES FROM USING THE SERVICE WILL MEET YOUR EXPECTATIONS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOUL SHARE HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL THE TOTAL LIABILITY OF SOUL SHARE HEALTH FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO SOUL SHARE HEALTH DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

You acknowledge that participation in the Service, including community interactions and discussions of mental and emotional well-being, involves inherent risks. You voluntarily assume all such risks associated with your use of the Service.

Force Majeure

Soul Share Health shall not be liable for any delay, failure in performance, or interruption of the Service resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquakes, pandemics, labor disputes, internet or telecommunications failures, power outages, cyberattacks, governmental actions, or failure of third-party service providers. During any such event, Soul Share Health’s obligations under these Terms shall be suspended for the duration of the event and will resume within a reasonable time once the event has ended.

Modifications to Terms and Assignment

SSH reserves the right to update or modify these Terms at any time. If material changes are made, SSH will provide notice through the Service, by email, or by other reasonable means. You may also be notified of material changes to the Terms by email, and you agree to make sure SSH has your current email address to receive proper notice. SSH may require you to accept updated Terms before continuing to use the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms. Soul Share Health may assign or transfer its rights under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Soul Share Health regarding your use of the Service and supersede all prior and contemporaneous agreements, communications, or understandings, whether written or oral, relating to the subject matter herein. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.

No Third-Party Beneficiaries

These Terms are intended solely for the benefit of you and Soul Share Health and do not create any rights in favor of any third party.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Dispute Resolution; Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration shall be administered by a recognized arbitration provider, such as the American Arbitration Association (AAA) or another comparable, neutral, and widely recognized provider, in accordance with its applicable rules. You and Soul Share Health agree that all claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You expressly waive any right to participate in any class action lawsuit or class-wide arbitration. Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights, confidential information, or other proprietary interests.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles, regardless of your location or the location of Soul Share Health’s formation. Any arbitration shall be conducted in the State of Texas, unless otherwise required by applicable law, and may be conducted in person, by telephone, or by virtual means, as determined by the arbitrator. Subject to the Dispute Resolution; Arbitration; Class Action Waiver section above, the parties irrevocably submit to the exclusive jurisdiction of the courts of the State of Texas for any matters not subject to arbitration or for enforcement of any arbitration award.

No Reliance

You agree that you will not rely on the Service or any content provided through the Service as a substitute for professional advice, diagnosis, or treatment.
